1. Service is at will
ProAIE provides integration services on a month-to-month basis. Either party may discontinue the relationship at any time. There is no minimum commitment beyond paying for the current monthly billing period.
2. Notice if we discontinue
If ProAIE decides to discontinue your service for reasons within our control, we will give you one calendar month of advance written notice so you have time to migrate.
This notice does not apply when discontinuation is caused by outside factors we cannot control, including but not limited to:
- Changes or shutdowns of third-party APIs your integration depends on (e.g. GoHighLevel, Stripe, Twilio, EHR vendors);
- Account suspension or revocation by a third-party platform;
- Legal or regulatory requirements that force us to stop;
- Loss of access to infrastructure (e.g. Cloudflare account, hosting provider) outside our reasonable control.
In those cases we will give you as much notice as the situation allows, typically the same day we learn of it.
3. Billing & payment
Each active integration is billed monthly. Invoices are issued on the 1st of each month (or whatever day is configured for your account) and are due by the end of that month unless we agree otherwise in writing. Payments are processed by Stripe; you can save a card to be charged automatically or pay each invoice on its hosted Stripe page.
If an invoice goes unpaid past its grace period, we may pause your integrations until payment is resolved.
4. Your responsibilities
You agree to provide accurate billing information and to keep your third-party API credentials current. Integrations break when upstream keys rotate or expire; if we cannot reach your systems, we cannot deliver the service.
5. Confidentiality and data
We treat data passing through your integrations as confidential to your business. We store secrets encrypted at rest. We do not sell or share your data with third parties except as required to operate the integrations you have configured.
6. No warranty
Best-effort. Software has bugs and the internet has outages. We will work in good faith to keep your integrations healthy but we do not guarantee uptime, accuracy of third-party data, or specific business outcomes.
7. Limitation of liability
To the maximum extent permitted by law, ProAIE's total liability to you for any claim arising out of or related to the service is limited to the amount you paid us in the three months preceding the claim.
8. Changes to these terms
We may update these terms when our practices change. Material updates will be announced and you will be asked to accept the new version at your next sign-in. Continuing to use the service after an update means you accept it.
